PREAMBLE


WHEREAS, WordCovers operates a business as a business coach and content strategist;


WHEREAS, this agreement contains the WordCovers’ terms of professional engagement;


NOW, THEREFORE, in consideration of the mutual agreements and covenants herein contained, the Parties hereby, intending to be legally bound, agree as follows:


1. SERVICES PROVIDED


1.1. The Content Strategist agrees to supply and diligently perform the following professional services for the Client (the “Services”):

TERM AND TERMINATION


2.1. Term: This Agreement takes effect on DATE OF PURCHASE and remains in effect for a twelve (12) month term (the “Initial Term”).


2.2. Termination: The Parties may terminate the Agreement upon the occurrence of any of the following events:


a) In case of failure to remedy a breach of any of the obligations under this Agreement or under any other written agreement between the Parties, within five (5) days of receipt of written notice to this effect;


b) Without notice or delay, if a Party becomes insolvent or bankrupt or if a receiver or trustee is appointed for a Party’s property;


c) Without notice or delay, if the Parties mutually form the opinion, on reasonable grounds, that mutual confidence and trust do not exist between both Parties and record such mutual opinion in writing;


d) When the Client exhibits inappropriate behavior as deemed by the provider such as but not limited to inappropriate comments, spamming other clients, sharing membership ids with a non-member, reproducing documents, making racist or sexist comments.


Upon termination of the Agreement, the Client is bound to pay to the Content Strategist, the full amount of the agreed fees. The fees paid are not refundable.


3. CONSIDERATION


3.1. Consideration: In consideration of the Services rendered, the Client agrees to pay the Content Strategist the total amount of the program as shown on the payment plan selected. The client is responsible for all of the payment and it is non-cancelable.


3.2. Billing Arrangements: Depending on the plan selected each monthly installment of 197$ or 555$ USD plus taxes or 1997$ paid in full on date of initial purchase shall be invoiced on the same date of each month and shall be payable automatically by credit card.


3.3. Non-Payment: If an invoice is not paid in full within five (5) days of its issuance the Content Strategist may cease providing the Services until full payment of sums due is received. The entire amount will still be due with no additional compensation.




3.4. Refunds : There are no refunds or cancellations on the payment plans, and by agreeing you understand that this program is non-cancellable.


4. INTELLECTUAL PROPERTY AND CONFIDENTIALITY


4.1 The client agrees to allow the Content strategist to take picture of recount in any other way what is shared in the facebook group, during calls, or private messages. This is monstly used to share client wins.


5. NON-SOLICITATION (lifetime)

Unless there is a written agreement to this effect, the Client agrees, during the term of the Contract and for lifetime after its termination, not to, directly or indirectly:

a) incite or attempt to incite the Content Strategist’s employees or service providers to leave their job or terminate their service contract with the Content Strategist;
b) interfere with or disrupt the Content Strategist’s relationship with its employees or service providers;
c) discuss with the Content Strategist’s employees or service providers about employment opportunities with competitors or provide information to this effect to these employees or service providers.


6. GENERAL DISPOSITIONS




6.1. Independence of clauses: The illegality or nullity of an article, paragraph or provision (or part of an article, paragraph or provision) shall not affect in any way the legality of the other articles, paragraphs or provisions of the present contract.


6.2. Modification: The present Agreement and its annexes represent the entire agreement between the Parties; it may be modified at any time by mutual agreement between the Parties; any modification must however be recorded in writing and signed by each of the Parties.


6.3. Non-exclusivity: The Client acknowledges that the Content Strategist enters into service contracts similar to this Agreement with many other clients in the course of its commercial activities. The Client acknowledges and agrees that the Services provided by the Content Strategist under this present Agreement are provided non-exclusively and no provision of the present Agreement may be interpreted as limiting the capacity of the Content Strategist to provide its services to a third party during the term of the present Agreement, subject to the full compliance of the obligations as defined in the present Agreement.


6.4. Independent Contractor: The Content Strategist shall be deemed an independent contractor and is not an employee, partner, agent, or engaged on a joint venture with the Client. For this reason, the Content Strategist shall not be entitled to any fringe benefits, pension, retirement, profit sharing or any other benefits accruing to employees or to shareholders.


6.5. Superior force: Neither party to this contract may be considered in default under the present Agreement if the performance of their obligations, in whole or in part, is delayed or prevented as a result of superior force. Superior force is an external, unforeseeable and irresistible event that renders the performance of an obligation impossible.


6.6. Mediation: The Parties undertake to attempt to settle any dispute or source of litigation arising from this Agreement by means of mediation, held according to the rules set out in the Code of Civil Procedure (Québec), for a minimum of one (1) session. The costs of the mediator will be shared equally between the Parties.


6.7. Laws and jurisdiction: This Agreement is governed by the laws of the Province of Québec, without regard to conflict of laws principles that would require the application of the laws of another jurisdiction. Subject to the dispute resolution provisions of this Agreement, the Parties irrevocably submit to the exclusive jurisdiction of the courts of the judicial district of Montréal.


6.8. English language: It is the express wish of the parties that this Agreement and all related documents, including notices and other communications, be drawn up in the English language only. Il est la volonté expresse des parties que cette convention et tous les documents s’y rattachant, y compris les avis et les autres communications, soient rédigés et signés en anglais seulement.
I agree
